Terms of Service

1. Introduction and acceptance
These terms of service (the Terms) set out the rules for using the kvitas.app service.
kvitas.app is provided and operated by:

This is the same company that operates backoffice.lt. kvitas.app is a separate service provided by that company.
By registering an account or using the Service you confirm that you have read these Terms, that you understand them, and that you agree to be bound by them. If you do not agree, you may not use the Service.
The processing of personal data is described in our Privacy Policy, which forms an integral part of these Terms. These Terms do not repeat the data processing rules.
2. Definitions

3. What the Service does and does not do
3.1. The Service acts as your agent. It submits your own Receipt identifiers and the company code you provide to the Retailer’s public self-service system, and returns to you the document that the Retailer issues.
3.2. The Invoice is issued by the Retailer, not by us. We do not create, sign, correct or guarantee any accounting document. We are not the issuer of the Invoice and we do not become a party to the underlying sale of goods.
3.3. You remain responsible for the correctness of your accounting records, for retaining documents as required by law, and for meeting your own tax obligations. Using the Service does not transfer that responsibility to us.
3.4. We do not provide accounting, tax or legal advice. Information presented in the Service is general in nature and is not professional advice.
4. We are not affiliated with the Retailers
4.1. Maxima, IKI, Rimi, Lidl, Senukai, Depo and any other Retailer named in the Service are independent companies with no connection to us.
4.2. Those names are used only to identify whose Receipt is being processed. This is not, and must not be understood as, a partnership, cooperation, sponsorship or endorsement by the Retailer.
4.3. All trademark rights belong to their respective owners.
5. We only use public self-service functions
5.1. The Service uses only those self-service functions that the Retailer offers publicly to its customers, and only to the extent that you would use them yourself.
5.2. We never circumvent security measures. We do not use, and will not build, any means of bypassing security codes, bot checks or other protections applied by a Retailer.
5.3. Where a Retailer requires a human verification step, the Service prepares the Receipt details and hands them back to you together with a link so that you can complete the step yourself. Such a case is not a defect in the Service.
5.4. We respect the request rate limits set by Retailers and identify ourselves honestly.
6. The result depends on third parties
6.1. A Retailer may change, restrict or withdraw its self-service system at any time.
6.2. A Retailer may apply a deadline after which no Invoice can be issued for a Receipt, and may limit how many times an Invoice can be issued for the same Receipt.
6.3. Conversion of a Receipt into an Invoice is therefore not guaranteed. If an Invoice is not issued for the reasons set out in clauses 6.1 or 6.2, this is not a defect in the Service and does not give rise to a refund.
6.4. We aim to report such an outcome to you clearly and promptly so that you can act yourself.
7. Your warranties
By using the Service you warrant that:
7.1. The Receipts you submit relate to purchases made for your own business.
7.2. You are entitled to request an Invoice for every Receipt you submit.
7.3. The company code you provide is one you are authorised to use.
7.4. The details you provide are accurate, and you will update them promptly if they change.
8. Acceptable use
When using the Service you undertake:
8.1. Not to submit Receipts belonging to other persons without their authority.
8.2. Not to use automated bulk submission beyond normal business use.
8.3. Not to attempt to overload, probe, scan or otherwise interfere with the operation or security of the Service or of the Retailers’ systems.
8.4. Not to use the Service for unlawful purposes, including to obtain documents you are not entitled to.
8.5. Not to share your account credentials with persons who do not act on your behalf.
A breach of these undertakings is a material breach of the Terms.
9. Account registration
9.1. The Service may be used only after registration and only with accurate details.
9.2. You are responsible for the security of your account and credentials, and for all activity carried out through your account.
9.3. You must notify us immediately at info@backoffice.lt of any unauthorised use of your account.
9.4. If you grant access to your company to other Users, you are responsible for their actions as if they were your own.
10. Plans, limits and fair use
10.1. The Service is provided under the Plan you select. Plan terms and prices are published on the kvitas.app website. Prices are not repeated in these Terms because they may change.
10.2. Each Plan carries a receipt volume limit per calendar month. The limit resets at the start of each month, and any unused allowance does not carry over to the next month and is not refunded.
10.3. Plans described as offering an unlimited number of receipts are subject to fair use. Unlimited means the normal operating need of a single business. If usage significantly and persistently exceeds that need, we will contact you and offer a more suitable Plan before applying any restriction.
10.4. We may change the content and prices of Plans. We will give at least 30 days notice of any change that is unfavourable to you. If you do not accept the change, you may cancel your subscription before it takes effect.
11. Payment
11.1. Payments are processed by the payment service provider Stripe. We do not store your payment card details.
11.2. Subscriptions are recurring and renew automatically at the end of each billing period until you cancel.
11.3. You may cancel at any time. Cancellation takes effect at the end of the paid period, and the Service continues to work normally until then.
11.4. Fees paid for a period that has already begun are not refunded, except where mandatory law requires otherwise.
11.5. If a payment fails, we may temporarily suspend the Service after notifying you.
12. Consumer rights
12.1. The Service is intended for businesses and is provided for economic or professional purposes. The 14 day right of withdrawal available to consumers therefore does not normally apply.
12.2. If you nevertheless use the Service as a consumer, all mandatory rights available to you under the laws of the Republic of Lithuania continue to apply and are not limited by these Terms.
13. Intellectual property
13.1. The Service, its software, design, texts and trademarks belong to us or to our licensors. You are granted a non-exclusive, non-transferable right to use the Service in accordance with these Terms.
13.2. Your data remains yours. Receipts, Invoices and other information you submit or receive belong to you. We claim no ownership of them.
13.3. We process your data only to the extent needed to provide the Service, as described in the Privacy Policy.
14. Third-party connections
14.1. The Service may allow you to connect third-party storage or other services, for example Google Drive or Dropbox.
14.2. Use of those services is governed by their own providers’ terms and privacy policies. We are not responsible for their operation or availability.
14.3. You may disconnect at any time, either in the Service settings or in the relevant provider’s account.
15. Service availability
15.1. We aim to keep the Service running without interruption, but at this stage we do not offer any uptime guarantee.
15.2. The Service may be temporarily unavailable due to maintenance, updates, third-party failures or circumstances beyond our control.
15.3. We aim to give advance notice of planned extended maintenance.
16. Suspension and termination
16.1. You may terminate these Terms at any time by closing your account or writing to info@backoffice.lt.
16.2. We may suspend or terminate your access if you fail to pay and payment is not made within a reasonable period after a reminder, if you breach section 8, if you use the Service unlawfully, or if required by law.
16.3. Except in cases of serious breach, we will warn you before suspending the Service and give you a reasonable period to remedy the breach.
16.4. After termination you may download your documents for 30 days. After that period, data is deleted as set out in the Privacy Policy.
17. Disclaimer of warranties
17.1. The Service is provided as is and as available.
17.2. To the extent permitted by law, we do not warrant that the Service will be uninterrupted or error free, that every Receipt will be successfully converted into an Invoice, or that the result will meet every expectation you may have.
17.3. This section does not limit any warranty that cannot be disclaimed under the law of the Republic of Lithuania.
18. Limitation of liability
18.1. To the extent permitted by law, our total liability under these Terms is limited to the amount you paid for the Service in the 12 months preceding the event giving rise to the liability.
18.2. We are not liable for indirect losses, lost revenue, lost profit, a lost opportunity to deduct VAT, or fines and late payment interest arising because an Invoice was not issued, nor for the acts or omissions of Retailers.
18.3. These limitations do not apply to damage caused intentionally or by gross negligence, to damage to life or health, or in any other case where limitation of liability is prohibited under the law of the Republic of Lithuania.
19. Indemnity
19.1. You undertake to compensate us for loss and costs arising from third-party claims connected with your breach of these Terms, with submitting Receipts without the right to do so, or with using a company code you were not authorised to use.
19.2. We will notify you of any such claim promptly and cooperate in resolving it.
20. Governing law and disputes
20.1. These Terms are governed by and construed in accordance with the law of the Republic of Lithuania.
20.2. All disputes arising out of or in connection with these Terms fall under the exclusive jurisdiction of the courts of the Republic of Lithuania, and the venue is Vilnius.
20.3. Before going to court, we ask you to contact us at info@backoffice.lt so that we can try to resolve the dispute by negotiation.
21. Changes to these Terms
21.1. We may change these Terms. The current version is always published on this page together with the date it was updated.
21.2. We will notify you of material changes by email or in the Service at least 30 days before they take effect.
21.3. If you do not accept the changes, you may terminate these Terms before they take effect. By continuing to use the Service after the changes take effect, you accept them.
22. General provisions
22.1. If any provision of these Terms is held invalid, the remaining provisions stay in force.
22.2. A failure to exercise a right immediately is not a waiver of that right.
22.3. You may not assign your rights and obligations under these Terms without our written consent. We may assign them in the event of a reorganisation or a transfer of the business, having informed you.
22.4. These Terms together with the Privacy Policy constitute the entire agreement between you and us regarding the Service.
22.5. These Terms are prepared in Lithuanian and English. In the event of any discrepancy, the Lithuanian text prevails.
